Overview:
We are seeking a highly experienced Group Compliance Officer to oversee and lead our company’s compliance efforts, particularly focusing on US Security regulations and related frameworks. The Group Compliance Officer will be responsible for developing, implementing, and maintaining a robust compliance program that adheres to local, national, and international regulations, working in close cooperation with the Group Security Officer and CISO, with respect to frameworks such as US National Security regulations, export controls, and security clearance protocols.

This is a senior leadership role within the organization, reporting to the Group Secrétaire Général (chief of staff function including Legal, Compliance, CISO, Security, Quality, HR and CSR).

 

Key Responsibilities:

  • Compliance Strategy Development:
    • Develop, implement, and continuously improve the organization’s global compliance program.
    • Ensure alignment of the compliance strategy with the company’s business goals, risk profile, and regulatory requirements.
    • Establish and manage compliance risk assessments across various jurisdictions, including France, UK, US, and emerging markets, in particular in Middle East and Africa regions.
  • Regulatory Compliance Management:
    • Monitor and interpret local and international regulations, industry standards, and best practices to ensure the company remains compliant with all applicable laws and regulations (e.g., anti-corruption, anti-money laundering, GDPR, export controls).
    • Act as the key advisor to the Board, Executive Committee, and business units on all matters related to compliance and regulatory issues.
    • Manage the preparation and submission of reports to regulatory authorities and ensure adherence to all regulatory filing requirements.
  • Governance and Oversight:
    • Develop and lead the company’s internal audit processes to assess the effectiveness of compliance controls.
    • Ensure robust governance structures are in place for managing compliance risks across business units, subsidiaries, and affiliates.
    • Coordinate and collaborate with legal, finance, risk, and other internal departments to ensure consistent application of policies.
    • Manage relationships with regulators as and when necessary in particular in France AFA, CNIL, SISSE and SGDSN.
  • US National security regulations frameworks:
    • Ensure the company’s adherence to US National Security regulations, including International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), and other national security-related regulations.
    • Lead efforts to assess and mitigate risks associated with compliance to the US government’s export control laws and national security policies.
    • Oversee any dealings with the Committee on Foreign Investment in the United States (CFIUS), ensuring that all transactions, including acquisitions and joint ventures, are reviewed for national security concerns. Develop strategies to ensure compliance with US laws governing foreign investments in the company, particularly in regard to critical infrastructure or technology-related sectors.
    • Ensure proper data protection standards are adhered to, especially when handling sensitive or classified data subject to US national security regulations.
    • Security Clearance Management:
      • Ensure that all employees and contractors involved in projects with national security implications hold the necessary security clearances, and that processes are in place to obtain and renew clearances as needed.
      • Supervise and/or manage the company's engagement with government agencies regarding the security clearance process.
      • Implement protocols to ensure that classified and sensitive information is handled properly, in accordance with security clearance standards.
  • Internal Auditing and Risk Management:
    • Lead risk assessments to identify potential vulnerabilities or gaps in compliance across the company’s operations.
    • Work with internal and external auditors to ensure that national security compliance is appropriately tested and documented.
  • Reporting and Documentation:
    • Provide regular compliance reports to the CEO, Board of Directors, and other senior management regarding the status of the company’s compliance programs.
    • As and when required, ensure that all national security-related transactions, business activities, or compliance actions are documented thoroughly and reported to relevant government authorities.
  • Investigation and Reporting:
    • Lead and manage investigations into compliance violations or potential risks, ensuring thorough documentation and resolution.
    • Establish and oversee systems for the reporting of compliance breaches and whistleblower concerns, and ensure corrective actions are taken as necessary.
  • International Coordination:
    • Work closely with international teams to ensure local compliance requirements are met in each jurisdiction.
    • Develop strong relationships with regulatory bodies, industry groups, and external auditors globally.

    • Lead the development of and implement training programs to educate employees, management, and business partners about compliance risks, policies, and best practices.
    • Promote a culture of compliance and ethical conduct by working with business units and functions across all regions and levels of the organization.
  • Leadership & Strategy:
    • Lead and develop a global compliance team, ensuring high standards of performance, professional development, and alignment with the company’s strategic goals related to national security.
    • Foster a culture of compliance and security awareness within the organization, particularly with respect to international operations.

Skills and Qualifications:

  • At least 10-15 years of experience in compliance, with a proven track record in managing global compliance functions, in a multinational or international corporate environment.
  • Proven knowledge and working exposure of relevant international regulatory frameworks (e.g., Loi Sapin 2, FCPA, UK Bribery Act, GDPR, anti-money laundering regulations, EU/US/UK International sanctions regimes).
  • Experience in compliance for multiple jurisdictions and understanding cross-border legal challenges.
  • Strong leadership, communication, and interpersonal skills, with the ability to influence and drive change across multiple levels of the organization.
  • Demonstrated ability to build and maintain relationships with senior leadership, regulators, and business partners both in France and at international level.
  • Exceptional problem-solving and analytical skills, with the ability to navigate complex compliance challenges.
  • Strong business acumen and ability to navigate and decide in complex and grey areas where judgment is key.
  • High degree of ethical judgment and integrity, with a commitment to fostering a culture of compliance and transparency.
  • Exposure to the implementation of US compliance frameworks such as SOX, National Security agreements including ITAR, EAR, and other export control laws.
  • Strong understanding of cross-border compliance, particularly with respect to UK or US export control laws and data protection regulations.
  • Proven track record of managing risk in a global organization by implementing processes and following through adherence to such processes, including the ability to assess risks and implement effective mitigation strategies.
  • Excellent communication skills, both verbal and written, with the ability to report to senior executives and government agencies on compliance matters.
  • Proficiency in compliance management tools and systems
  • Fluency in English and French required; additional language skills are a plus.

 

Education and Experience:

  • Bachelor’s degree in Law, International Relations, or a related field (advanced degree preferred).
  • Certifications related to US export control regulations or national security (e.g., Export Compliance Professional (ECoP), or ITAR/EAR certifications) are a plus.
  • Minimum of 10 years of experience in compliance, with at least 5 years in a senior compliance leadership role.
  • Experience in managing compliance in a multinational environment; experience in a company exposed to national security, export control, and/or government-related regulations a plus.
